By accessing or using BoardRoom (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
BoardRoom is a collaborative board application that allows users to access boards and create or edit board content (including drawings/strokes, shapes, text, and board titles) depending on permissions.
Access to the Service may be provided via email-based authentication (“magic links”). You are responsible for maintaining control over the email account used to sign in. If you believe your email account or a sign-in link has been compromised, you must notify us and stop using the Service until your access is secured.
We may refuse authentication requests or suspend access where we reasonably believe there is abuse, fraud, or a security risk.
Each board supports role-based access:
Viewer: may view board content.
Editor: may add and modify board content.
Admin: may delete entire board, may manage board membership (including adding/removing members and changing roles) and has access to the board’s member management functions.
Permissions are enforced per board. You agree not to attempt to bypass role restrictions or access boards you are not authorized to access.
You retain ownership of the content you create within boards (“Board Content”), subject to the license you grant below.
By submitting Board Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Board Content only as necessary to operate the Service (including displaying it to authorized users, syncing between collaborators, backups, and restoring boards).
You are responsible for your Board Content and for ensuring you have the rights to upload or share it. Do not submit content that violates laws or infringes intellectual property rights.
BoardRoom is collaborative. If you are added to a board, other board members may view and interact with Board Content depending on their roles. Board administrators may manage membership and roles. You understand that joining a board may make your email address visible to board administrators and may be visible to other board members where required for collaboration and membership management.
You agree not to:
Use the Service for unlawful purposes or to violate any applicable laws or regulations.
Attempt to gain unauthorized access to boards, accounts, or systems.
Disrupt the Service (including by introducing malware, automated scraping, or abusive traffic).
Upload content that is illegal, harassing, hateful, or that infringes intellectual property rights.
Use the Service to store or share highly sensitive personal data unless you have a legitimate reason and appropriate permissions.
We may remove content or restrict access if we reasonably believe it violates these Terms or creates risk to users or the Service.
If you are a board admin, you are responsible for:
Only inviting members who are authorized to access the board’s content.
Assigning roles appropriately and reviewing membership periodically.
Ensuring Board Content shared via the board complies with your organization’s policies and applicable laws.
We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We may also change these Terms. If changes are material, we will take reasonable steps to notify users (for example, by posting an update on the Service). Continued use after changes means you accept the updated Terms.
We may suspend or terminate your access to the Service if:
You violate these Terms,
Your use poses a security risk,
We are required to do so by law, or
We believe it is necessary to protect the Service or other users.
You may stop using the Service at any time.
The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, BoardRoom will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenues, arising from or related to your use of the Service.
In any case, our total liability for claims relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim (or, if you paid nothing, a nominal amount).
You agree to indemnify and hold us harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your Board Content, your misuse of the Service, or your violation of these Terms.
These Terms are governed by the laws of Croatia, without regard to conflict of laws principles.
